Terms of Service

These terms are the agreement between NerdTech Softwares LLC ("we", "us") and the business that signs up for Workwise Billing ("you"). By creating a workspace, accepting an invitation or using the service you accept them, on behalf of your business if you sign up for one. Our Privacy Notice is part of these terms.

1. The service

Workwise Billing is software, delivered over the internet, for quotations, invoices, vendor bills, credit notes and payments. We may improve or change features, and will give notice before removing something you rely on.

2. Accounts

• You must be at least 18 and authorised to act for your business. Keep sign-in details secret and tell us at once if you think an account was misused. You are responsible for what happens under your accounts and for whom you invite.
• Admins decide who is in the workspace and what they can do. An admin can close the workspace at any time (section 9).

3. Your data, and our role under the DPDP Act

• You own the data you enter. For personal data in your records (your customers, vendors and their contact people) you are the Data Fiduciary and we are your Data Processor. We process it only to provide the service and on your instructions given through the service, and never for our own purposes, advertising or sale.
• You confirm you have a lawful basis under the DPDP Act to enter that data and to send documents to the people in it, and you handle their requests about it. We will help you answer them where the service allows (for example correcting, exporting or deleting records).
• We keep the data confidential, protect it with reasonable security safeguards, allow access only to staff who need it, use sub-processors (hosting, email delivery, Razorpay) bound to the same standard, tell you without undue delay about a personal data breach affecting your workspace, and erase your data when the workspace is closed, except what the law requires us to keep.
• You are responsible for the content of your documents, including tax rates, GSTIN and HSN/SAC codes and compliance with the laws that apply to your business. Workwise Billing is a tool, not tax or legal advice.

4. Trial and plans

• New workspaces get a 14-day free trial with every feature. No payment details are needed. When it ends the workspace becomes read-only until you choose a plan. Ending a trial never deletes data.
• Plans and their prices are shown on our pricing page and in Settings > Plan, in Indian rupees. Prices exclude GST, which is added where it applies.
• Plans are paid in advance, one month per payment, through Razorpay. A payment adds a month after any time already paid for. Nothing renews or is charged automatically. If a paid month ends without a new payment, the workspace becomes read-only until you pay again. Nothing is deleted.
• We may change prices for future payments by showing the new price before you pay. A month already paid for is never charged again.

5. Cancellations and refunds

You can stop at any time by not paying for the next month, or by closing the workspace. Payments are for a month of service and are not refunded for unused days, except where the law requires it, where you were charged in error or twice for the same month, or where the service was unavailable for a large part of that month because of us. In those cases write to us within 30 days of the payment and we refund it to the original payment method within 7 working days of approving it.

6. Acceptable use

Don't use the service to send spam or fraudulent documents, break the law, infringe anyone's rights, try to get into other workspaces or our systems, or overload or probe the service for weaknesses without our written permission. If you connect your own mail server, you confirm you are allowed to send from it.

7. Availability and security

We work to keep the service available and secure, as described in the Privacy Notice, and announce planned maintenance in advance where we can. The service is provided "as is", and we don't promise it will be uninterrupted or error-free. Export what you need regularly: every list exports to CSV.

8. Liability

To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss, such as lost profits. Nothing here limits liability that cannot be limited by law.

9. Ending the agreement

• An admin can close the workspace in Settings > Plan. That erases its data at once, and from backups within 30 days. Export first, because it can't be undone.
• We may suspend or close a workspace that seriously breaches these terms, after notice where we reasonably can, and will let you export your data unless the law or a security risk prevents it.
• Records of payments made to us are kept as tax law requires.

10. Changes to these terms

We update the version above when these terms change and ask everyone to accept the new version when they next sign in. Material changes are announced at least 15 days in advance where we can.

11. Law and disputes

These terms are governed by the laws of India. Before going to court, write to us so we can try to resolve the issue. The courts at Nashik, Maharashtra, India have jurisdiction. Privacy complaints can also go to our Grievance Officer and the Data Protection Board of India, as set out in the Privacy Notice.
